Welcome to Tax Software. These Terms and Conditions ("Terms") govern your use of the Tax Software software ("Software") and any related services provided by Royale Tax & Financial Services ("we," "us," or "our"). By purchasing, accessing, or using the Software, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Software.
Software License: We grant you a limited, non-exclusive, non-transferable license to use the Tax Software Software for one (1) tax season for the single Electronic Filing Identification Number (EFIN) specified at purchase.
Service Bureau: For users who opt-in, we provide service bureau facilities to enable the offering of bank products (such as Refund Anticipation Checks) to your clients. This service is subject to separate agreements and bank approval.
Accurate Information: You are responsible for the accuracy and completeness of all data you enter into the Software and for the tax returns generated.
Compliance: You agree to use the Software in compliance with all applicable federal, state, and local laws, including all IRS rules and regulations for tax preparers.
EFIN Requirement: You must have a valid, current EFIN issued by the IRS to purchase and use the Software for professional tax preparation.
Confidentiality: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Software License Fee: The Software is subject to a one-time seasonal license fee of $299 per EFIN. This fee is non-refundable after the software has been activated.
Service Bureau Fees: If you use our integrated bank products, you will be charged a Service Bureau Fee of $99 and a Bank Product Fee of $39 for each return funded through a bank product. These fees are deducted from the client's refund along with your tax preparation fees.
Payment: All fees are due as specified at the time of purchase or transaction. We reserve the right to change our fees at any time, with notice.
Seasonal License: The license is valid for the tax season for which it was purchased (e.g., the 2025 tax season covers returns filed in 2026). It does not automatically renew.
Non-Transferable: The license is non-transferable and may only be used by the EFIN holder who purchased it.
Updates: We will provide updates to the Software as necessary to comply with changes in tax laws and regulations during the license term.
Bank Approval: Your ability to offer bank products is subject to approval by our third-party banking partners. We do not guarantee approval.
Separate Agreement: Use of the service bureau may require you to agree to additional terms and conditions from our banking partners.
Indemnification: You agree to indemnify and hold us harmless from any claims arising from your offering of bank products to your clients.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ROYALE TAX & FINANCIAL SERVICES, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SOFTWARE. OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.
We reserve the right to modify these Terms at any time. We will provide notice of any material changes. Your continued use of the Software after such notice constitutes your acceptance of the new Terms.
